These Terms of Service ("Terms") govern your access to and use of the eapogee website located at eapogee.com (the "Site") and any consulting services, advisory engagements, or other services offered by eapogee LLC ("eapogee," "we," "us," or "our"). By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.
1. Use of the Site
The Site is provided for informational purposes to describe eapogee's AI consulting capabilities, industry offerings, and to facilitate inquiries. You agree to use the Site only for lawful purposes and not to interfere with its normal operation, attempt unauthorized access to any systems, or misuse any contact or inquiry forms.
2. Consulting Engagements
Any autonomous AI agent architecture, enterprise transformation, governance advisory, or other consulting services described on the Site are subject to a separate, mutually executed statement of work, master services agreement, or similar engagement contract ("Engagement Agreement"). In the event of a conflict between these Terms and an Engagement Agreement, the Engagement Agreement controls with respect to that engagement.
3. Intellectual Property
All content on the Site, including text, graphics, logos, the eapogee brandmark, and underlying code, is the property of eapogee or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.
4. Confidentiality
Information you submit through our contact or inquiry forms is treated as confidential business communication and used solely to evaluate and respond to your inquiry, consistent with our Privacy Policy. Any confidential information exchanged during an active engagement is governed by the confidentiality provisions of the applicable Engagement Agreement.
5. No Warranty
The Site and its content are provided "as is" without warranties of any kind, express or implied, including but not limited to accuracy, completeness, or fitness for a particular purpose. Descriptions of technical capability, performance metrics, or compliance frameworks are illustrative and do not constitute a guarantee of outcomes for any specific engagement.
6. Limitation of Liability
To the fullest extent permitted by law, eapogee shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site. Liability arising from a specific consulting engagement is governed exclusively by the applicable Engagement Agreement.
7. Third-Party Links
The Site may reference or link to third-party resources. eapogee is not responsible for the content, accuracy, or practices of any third-party sites.
8. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California.
9. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
